Lockset – Terms of Service

Welcome to Lockset! The terms "we," "us," and "our" refer to Lockset, LLC ("Lockset"). Lockset operates this website and online store, including all related information, content, features, tools, products, and services (collectively, the "Services"). These Terms of Service (the "Terms") describe your rights and responsibilities when using the Services.

Please read these Terms carefully. They include important information about your legal rights, including warranty disclaimers, limitations of liability, and a binding arbitration clause.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. Access and Account

You must be at least the age of majority in your state or province of residence to use our Services. If you allow a minor dependent to use the Services on your device, you consent to their use and accept responsibility for all activity under your account.

You agree to provide accurate, current, and complete information when creating an account or making a purchase, and to update such information as needed. You are solely responsible for maintaining the confidentiality of your credentials and all account activity. You may not transfer, sell, or license your account to another person.

We reserve the right to terminate or suspend accounts that contain false or incomplete information or are used for fraudulent or unlawful activity.

2. Our Products

We make every effort to display our products accurately. However, colors, sizes, or textures may vary based on your device or settings. We do not warrant that product appearance or quality will meet your expectations.

Product descriptions and pricing are subject to change at any time without notice. We may discontinue any product or limit quantities at our sole discretion.

3. Orders

When you place an order, you make an offer to purchase. We reserve the right to accept or decline any order for any reason. Orders are not accepted until payment is processed and you receive an order confirmation. Once an order is accepted, it may not be canceled except as permitted in our Refund & Exchange Policy.

Purchases are for personal use only and not for resale or export.

All sales, returns, and exchanges are subject to our Refund Policy. We generally offer exchanges or store credit only for eligible items, consistent with our posted policy.

4. Prices, Billing, and Promotions

All prices are shown in U.S. dollars unless otherwise stated. Prices, promotions, and discounts may change without notice. The price charged is the one in effect at the time you place your order. Posted prices do not include taxes, shipping, or import duties unless expressly stated.

You agree to provide current and accurate payment information and authorize us (or our payment processor) to charge your chosen payment method for the full amount of your purchase. You represent that you are authorized to use that payment method.

Promotional Codes: From time to time, we may offer promotional codes. Only one code may be used per order. Promo codes are not redeemable for cash, may not be used to purchase gift cards, and cannot be applied retroactively or combined with other promotions.

5. Shipping and Delivery

Delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs, or circumstances beyond our control. Once an order is transferred to the carrier, title and risk of loss pass to you.

If an item arrives damaged or incorrect, please contact linked@lockset.com within 24 hours of receipt, including your order number and photos.

6. Gift Cards

Gift cards ("E-Gift Cards") are available for purchase online and delivered by email. They are not redeemable for cash and can only be used to purchase products on our website. Gift cards cannot be used to purchase other gift cards or be combined with promotional codes.

E-Gift Cards are partially redeemable; remaining balances may be used for future purchases until the card expires. Lost or stolen gift cards cannot be replaced, and unused balances will not be refunded after expiration.

7. Intellectual Property

All content and materials in the Services—including text, images, graphics, logos, product names, designs, videos, and software—are the property of Lockset, its affiliates, or licensors and are protected by intellectual property laws.

You may use the Services for personal, non-commercial purposes only. You may not copy, modify, distribute, or create derivative works without our prior written consent.

All trademarks, service marks, and trade names of Lockset are proprietary and may not be used without permission.

8. Optional Tools and Third-Party Links

We may provide access to third-party tools or links to external websites. These are provided "as is" and "as available" without warranties. We do not endorse or control third-party content and are not responsible for any harm arising from your use of it.

Please review third-party terms and privacy policies before engaging in transactions with them.

9. Relationship with Shopify

Our store is powered by Shopify, which provides the e-commerce platform. However, your purchase contract is solely with Lockset. Shopify is not responsible for our products, transactions, or any losses related to your purchases. You expressly release Shopify from any related claims or liabilities.

10. Privacy

Your personal information is collected and processed according to our Privacy Policy and Shopify's Privacy Policy. By using the Services, you consent to such processing and acknowledge that information may be transferred internationally as needed to fulfill your order.

11. Feedback and User Content

By submitting feedback, suggestions, reviews, or other content ("Feedback"), you grant us a perpetual, worldwide, royalty-free license to use, reproduce, modify, and publish such content for any purpose, including promotional use.

You represent that you own or control all rights to your Feedback and that it does not violate any third-party rights. We may remove or edit content at our discretion.

12. Errors, Inaccuracies, and Omissions

Occasionally, information on our site may contain typographical errors or inaccuracies. We reserve the right to correct such errors or cancel orders affected by them, even after submission.

13. Prohibited Uses

You agree not to use the Services:

(a) for unlawful or fraudulent purposes; (b) to infringe upon intellectual property; (c) to harass, defame, or harm others; (d) to transmit malware, spam, or deceptive content; (e) to reverse engineer, mine data, or circumvent security systems; or (f) to interfere with site operation or network integrity.

We reserve the right to suspend or terminate your access if you violate these Terms.

14. Termination

We may terminate or suspend your account or access at any time for violation of these Terms. Upon termination, you remain responsible for any outstanding payments.

Sections that by nature should survive termination (e.g., Intellectual Property, Limitation of Liability, Indemnification, Arbitration) will remain in effect.

15. Disclaimer of Warranties

The Services and all products are provided "as is" and "as available." We make no representations or warranties, express or implied, regarding merchantability, fitness for a particular purpose, title, non-infringement, or that the Services will be uninterrupted or error-free.

Use of the Services is at your own risk.

16. Limitation of Liability

To the fullest extent permitted by law, neither Lockset nor its officers, employees, contractors, or affiliates shall be liable for any indirect, incidental, special, or consequential damages, including lost profits or data.

Our total liability shall not exceed the greater of one hundred dollars ($100) or the amount you paid to Lockset in the six (6) months preceding the claim.

Some jurisdictions do not allow limitation of certain damages, so portions of this section may not apply to you.

17. Indemnification

You agree to indemnify, defend, and hold harmless Lockset, Shopify, and their affiliates, officers, employees, contractors, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your violation of these Terms or applicable law, or your misuse of the Services.

18. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, war, natural disasters, labor disputes, embargoes, government actions, or communication failures.

19. Arbitration and Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law principles.

You agree that any dispute arising under these Terms will first be attempted to be resolved in good faith. If not resolved, such dispute shall be submitted to binding arbitration in Deschutes County, Oregon, before a single arbitrator under the rules of the American Arbitration Association.

The arbitrator's decision will be final and binding. You and we waive the right to a jury trial and agree not to participate in class or representative actions.

Notwithstanding the above, intellectual property claims by Lockset may be brought directly in court.

20. Severability

If any provision of these Terms is held unlawful or unenforceable, the remaining provisions shall remain in full force and effect.

21. Waiver and Entire Agreement

Failure to enforce any provision of these Terms does not constitute a waiver. These Terms, together with our Privacy Policy and posted policies (e.g., Refund Policy), constitute the entire agreement between you and Lockset.

22. Assignment

You may not assign or transfer these Terms or your rights without our prior written consent. We may assign or transfer our rights and obligations without notice.

23. Headings

Headings are for convenience only and do not affect interpretation.

24. Changes to Terms

We may update or modify these Terms at any time by posting a revised version on our website. Material changes will be communicated as required by law. Your continued use after updates constitutes acceptance.
